She boasts specific expertise in the regulation of “supervised intermediaries”. She has provided and continues to provide legal and professional advice to clients (banks, financial intermediaries, SGR-Asset Management Companies/UCIs- Undertakings in Collective Investment, pension funds, listed companies, IMELs/payment institutions) in the establishment phase, on an ongoing basis, and in response to specific needs.

She particularly advises on: corporate governance, including assistance in board review processes; internal control systems; remuneration systems; anti-money laundering measures; transparency obligations; securitization operations; admission to trading on regulated markets; participation in public tenders for the provision of financial and ancillary services; drafting of contracts and agreements in line with international standards (e.g., ISDA master agreements).

She provides assistance in administrative sanctioning proceedings initiated by sector supervisory authorities and in appeals against sanctioning measures.

In the area of asset management, she assists a leading clientele in the establishment of UCIs, including innovative ones (credit AIFs).

She assists pension funds bodies in their current management.

She lectures as part of university specialization courses on regulation in the asset management sector and financial innovation field. She also participates in informational and training initiatives, including those organized by industry associations, aimed at corporate executives, management, and heads of supervised intermediaries’ internal function.

Previously, Luitgard Spögler worked at the Bank of Italy – Supervision (from 1991 to 2007). She was responsible at the European Commission – DG Internal Market for drafting the UCITS Directives (Management, Product, Simplified Prospectus Directives); she has served on high-level expert groups at ESMA; she was a member of the Italian delegation in negotiations for the adoption of EU directives (on MiFID, UCITS, IMEL, investor compensation systems).

She is a founding member of the Women’s Association of the Bank of Italy and a member of the Fuori Quota Association.
